1. Acceptance of Terms

By accessing this website (https://techzeile.com) or engaging Techzeile Innovation (“Techzeile”) for software development, cloud engineering, or consulting services, you agree to be bound by these Terms & Conditions, along with any individual Statement of Work (SOW) or Master Services Agreement (MSA) executed between parties.

2. Intellectual Property (IP) Ownership

Techzeile upholds a strict client-first intellectual property policy:

  • Client Deliverables: Upon payment of agreed milestone fees, the Client acquires 100% full, unencumbered ownership of all custom source code, documentation, UI/UX designs, and architectures created for the project.
  • Pre-existing IP & Tools: Any open-source libraries (e.g., React, Next.js, Flutter) or Techzeile internal development boilerplate remain governed by their respective permissive licenses (e.g., MIT, Apache 2.0).
  • Work for Hire: All engineer contributions are structured legally as “work made for hire” transferring all rights directly to the Client.

3. Engagement Models & Delivery Milestones

Services are provided under structured agile sprint milestones:

  • Dedicated Squads: Billed on agreed monthly sprint cycles with committed full-time senior engineers.
  • Fixed-Scope Milestones: Deliverables tied to explicit acceptance criteria defined in the project SOW.
  • Change Requests: Substantial scope deviations are evaluated and billed through written change orders.

4. Confidentiality & Non-Disclosure (NDA)

Both parties agree to treat all business plans, technical architectures, proprietary algorithms, and customer datasets as strictly confidential. Techzeile executes bilateral Non-Disclosure Agreements (NDAs) prior to receiving proprietary source code or documentation.

5. Warranties & Limitation of Liability

Techzeile warrants that all custom deliverables will function in substantial conformity with agreed specifications during the standard 30-day post-launch warranty period.

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, or consequential damages resulting from platform downtime or third-party cloud provider outages (e.g. AWS/GCP).

6. Governing Law & Inquiries

These Terms shall be governed by and construed in accordance with the laws of India, with jurisdiction in Kochi, Kerala. For legal inquiries:
